Find and Hire General Terms of Use

Please read these Find and Hire General Terms of Use (these “General Terms of Use”) carefully.
The website at www.FindandHire.com is a copyrighted creation owned by Find and Hire, LLC. (“Find and Hire,” “We,” “Us,” or “Our“). Some parts of the website might have extra rules and guidelines, which will be clearly posted on the site for those specific features. These rules may include things like how you use the website, and they’re called “Specific Terms.” All of these “Specific Terms” and any other extra rules and guidelines are included in these General Terms of Use.
These rules, known as the “General Terms of Use,” control how you can use the website and any mobile app we own or manage (we call it an “Application“). These rules apply to everyone who visits our website or uses our app, including those who use any of the features, services, or resources we offer (each one is a “Service,” and all of them together are the “Services“). We refer to our website, app, services, and all the content and information available through them as the “Find and Hire Properties.”
These are the important rules that explain how you can use the website. By clicking “I accept,” signing up, visiting the website, or getting the app, you’re saying that you: 1) read and agree to follow these rules, including any extra ones, 2) are old enough to make a legal agreement with Find and Hire, and 3) have the power to agree to these rules for yourself or on behalf of your employer. This makes up the “Agreement.” When we say “you,” we mean you (individual) or your company (legal entity), depending on who’s using the site. If you don’t agree with these rules and the privacy policy, you may not be able to use the website, app, or services.
Please be aware that Section 16 of these general terms of use, below, includes instructions for how we resolve any disagreements between you and us. This includes claims that came up before this agreement started. Specifically, it talks about an Arbitration Agreement. In most cases, it means that any disputes between us must be settled through binding arbitration. If you don’t choose to opt out of the arbitration agreement: 1) you can only pursue claims against us on your own, not as part of a group or class action, and 2) you’re giving up your right to go to court or have a jury trial for your claims.
It is important to acknowledge that these General Terms of Use are complemented by both the Privacy Policy and the Specific Terms, as follows:
- Find and Hire Employer Terms: If you’re a company or a person (we call you an “Employer“) using the Services to post job offers or using services designed for Employers, the Employer Terms also apply to you. This means the Employer Terms control how you use the Services and any Sales Order you make with Find and Hire. As an Employer, you agree to follow these Employer Terms as part of these General Terms of Use.
- Find and Hire Part-Timer Terms: If you’re using the Services to apply for Part-Time jobs posted by Employers or to explore services for part-time workers (We call you a “Part-Timer”), the Part-Timer Terms apply to you. This means that the Part-Timer Terms control how you use those Services, and you agree to follow the Find and Hire Part-Timer Terms as part of these General Terms of Use.
It’s important to know that one or more of these documents might apply to you. If that’s the case, you agree to follow the rules in all of those applicable documents. If there’s any conflict between these general rules and the specific ones, the specific rules will take precedence for that particular service. Also, these general rules and any specific ones are collectively referred to as the “Terms.”
Please be aware that the Terms may be modified by Find and Hire at its sole discretion, without prior notice, at any time. When we make changes to the Terms, we’ll put the updated version on the website and in the app. If there are changes to specific terms, you’ll find those in the affected service on the website or in the app. We’ll also update the “Last Updated” date at the top of the Terms. If we make important changes, we’ll summarize them in the Find and Hire website main page, and if you’re an active user, we’ll send you an email to the address you gave us. An “Active User” is someone who’s registered, created an account, and used the services in a year before the changes. Any changes to the Terms will take effect right away for new users and 30 days after we post them for existing users. But for important changes, they’ll take effect for users with an account either 30 days after we post them or 30 days after we send an email to registered users. We might ask you to agree to the updated Terms before you can keep using the website, app, or services. If you don’t agree with the changes, please stop using them. If you continue to use them, it means you accept the changes. We kindly request that you routinely visit the website to review the presently applicable Terms.
- Services.Find and Hire offers services that help Part-Timers connect with Employers. Part-Timers can also save their personal and resume information in a user-friendly format for sharing with Employers. We make this possible by allowing Part-Timers to apply for jobs through job postings and letting Employers invite Part-Timers to apply for job openings.
- Use of the Services and Find and Hire Properties.Find and Hire website and services are legally protected by copyright. Under the Terms, Find and Hire gives you a small permission to copy parts of the website only for using the services for your own personal or business needs. If Find and Hire doesn’t say something different in another license, you must still follow the Terms when using the website and its content.
2.1 Updates. You should know that Find and Hire is always improving its website and services. Sometimes, you might have to install updates for Find and Hire on your computer or mobile device. Find and Hire can do this with or without telling you. And, from time to time, you may also need to update other software to keep using Find and Hire.
2.2 Certain Restrictions. You agree that the rights given to you in the Terms have certain restrictions:
(a) You won’t do things like sell, rent, or transfer any part of Find and Hire, including the website, to others for commercial purposes.
(b) You won’t use tricks like framing or metatags to make it seem like Find and Hire Properties (including images, text, forms, page layout, and trademarks) to you.
(c) You won’t mess with Find and Hire’s name or trademarks by using them in hidden ways.
(d) You won’t try to take Find and Hire Properties apart, change it, or make new stuff from it, unless it’s allowed by the law.
(e) You won’t use software or devices to automatically collect data from the website, except for public search engines.
(f) You won’t use Find and Hire Properties to make a similar website or service.
(g) You won’t copy or use any part of Find and Hire Properties in ways not allowed in the Terms.
(h) You won’t remove any copyright notices on Find and Hire Properties.
Any future updates to Find and Hire will also follow these rules. Find and Hire and its partners have rights not mentioned in the Terms. If you use Find and Hire Properties in a way that’s not allowed, your permission to use it can be taken away.
2.3 Third-Party Materials. As a part of the Find and Hire Properties, you may have access to materials that are hosted by another party. You acknowledge and agree that it is impossible for Find and Hire to monitor such materials and that you access these materials at your own risk.
- Registration.
3.1 Signing Up Your Account. To use some special features on Find and Hire, you might need to create an account. A “Registered User” is just someone who has signed up for an account on the website or app.
3.2. Registration Data. When you create an account on the website or app, you promise to: (a) provide accurate and up-to-date information about yourself when asked (we call this “Registration Data“), and (b) keep your information current and true over time.
You also confirm that you are: (c) at least 13 years old, and if you’re between 13 and 18, you’re using the services with your parent or guardian’s approval, (d) of an age where you can make a legal agreement, or you’re under the supervision of a parent or guardian who can make such an agreement, (e) not legally blocked from using Find and Hire in your country.
You are responsible for everything that happens with your account. Please DO NOT share your account (usernames or account number) or passwords, and tell us right away if you think someone is using your account without permission. If you give us false or incomplete information, or if we think your info isn’t accurate, we can suspend or close your account. Also, DO NOT make an account using fake info or for someone else. You can’t have more than one account at a time. We can take away usernames (account number) if needed, like if someone else claims they own the name. DO NOT make an account if we’ve removed you before or banned you from using Find and Hire.
3.3 Necessary Equipment and Software. You need to have the right equipment and software to use Find and Hire Properties, like a suitable mobile device if you’re using the mobile version. You are responsible for any costs, like internet or mobile fees, when you use Find and Hire Properties. If you give us your phone number (or email address) and use the services, you agree that we can call or text (or send emails) you to provide and improve the services. We won’t charge you for these calls or texts, but your wireless carrier may have standard message or other charges.
- Responsibility for Content.
4.1. Types of Content. You recognize and agree that the individual or entity who originally provided any files, materials, data, text, audio, video, images, job postings, or other content within the Find and Hire Properties (“Content“) is solely responsible for it. This implies that you, rather than Find and Hire, bear full responsibility for all the Content you upload, post, email, transmit, or otherwise share through the Find and Hire Properties. Additionally, both you and other users of Find and Hire Properties, not Find and Hire itself, share the responsibility for all the Content they make available through Find and Hire Properties (“Customer Content“).
4.2 No Obligation to Pre-Screen Content. You recognize and accept that Find and Hire is not obligated to pre-screen Content, including Customer Content, but retains the right to, at its sole discretion, pre-screen, reject, or remove any Content. By agreeing to the Terms, you give your irrevocable consent to such monitoring. It is understood that you have no expectation of privacy regarding the transmission of Your Content, including chat, text, or voice communications. In the event that Find and Hire pre-screens, rejects, or removes any Content, it is acknowledged that such actions are taken for the benefit of Find and Hire or the online community it serves, and not for your benefit. Find and Hire reserves the right to remove any Content that violates the Terms or is otherwise deemed objectionable, without limitation.
4.3 Storage. Unless explicitly agreed upon in written form elsewhere, Find and Hire is not obligated to retain any of Customer Content that you share on Find and Hire Properties. Find and Hire bears no responsibility or liability for the deletion or accuracy of any Content, including your content, nor for any issues related to the storage, transmission, or reception of Content, as well as the security, privacy, storage, or transmission of other communications associated with the use of Find and Hire Properties.
Certain Services may allow you to specify the access level for Customer Content. It is your sole responsibility to set the appropriate level of access, and if not chosen, the system may default to its most permissive setting. You agree that Find and Hire has the right to impose reasonable limits on the use and storage of Content, including Your Content, such as restrictions on file size, storage space, processing capacity, and similar limits outlined on the Website, as determined solely by Find and Hire.
- Ownership.
5.1 Company Properties. With the exception of Customer Content, you acknowledge that Find and Hire, along with its suppliers, possesses all rights, title, and interest in Find and Hire Properties. It is prohibited to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices integrated into or accompanying the Website, the Services, or Find and Hire Properties.
5.2 Other Content. Except with respect to Customer Content, you agree that you have no right or title in or to any Content that appears on or in Find and Hire Properties.
5.3 Customer Content. Find and Hire does not assert ownership over Customer Content. However, by posting or publishing Customer Content on or within Find and Hire Properties, you affirm that you either own or possess a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right (including any moral rights) and license to utilize, license, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, generate revenue or other compensation from, and communicate to the public, perform, and display Customer Content (in whole or in part) globally. This includes the right to incorporate it into other works in any form, media, or technology currently known or developed later, throughout the entire duration of any worldwide intellectual property right that may exist in Customer Content.
5.4 Investigations. Find and Hire retains the option, though not the obligation, to monitor or review Find and Hire Properties and Content at its discretion. Without restricting this, Find and Hire holds the right, at its sole discretion, to remove any of Customer Content for any reason, whether or not stated, including if such Content breaches the Terms or any relevant law. While Find and Hire generally does not monitor user activity associated with Find and Hire Properties or Content, if any potential violations of the Terms by you come to Find and Hire’s attention, it reserves the right to investigate such violations. At its sole discretion, Find and Hire may promptly revoke your license to use Find and Hire Properties or modify, alter, or delete Customer Content, either wholly or partially, without prior notice to you.
5.5 Username (Account Number). Irrespective of any provisions herein to the contrary, upon submitting Customer Content to any forums, comments, or other areas on Find and Hire Properties, you explicitly authorize Find and Hire to identify you by your username (account number) as the contributor of Customer Content in any publication, in any form, media, or technology currently known or developed in the future, associated with Customer Content.
5.6 Profile. Content placed in your profile must refrain from including nudity, violence, sexually explicit material, or offensive subject matter. Additionally, it is prohibited to post or submit for print services a photograph of another person without obtaining that person’s explicit permission.
5.7 Feedback. You acknowledge that submitting any ideas, suggestions, documents, and/or proposals to Find and Hire through its suggestion, feedback, wiki, forum, or similar pages (“Feedback“) is undertaken at your own risk. Find and Hire assumes no obligations, including confidentiality obligations, regarding such Feedback. You affirm that you possess all necessary rights to submit the Feedback. By doing so, you grant Find and Hire a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license. This license allows Find and Hire to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise exploit, both commercially and non-commercially, any and all Feedback. Find and Hire also has the right to sublicense these granted rights in connection with the operation and maintenance of Find and Hire Properties.
- Deletion of Content.
6.1 General. Find and Hire retains the discretion to decline the posting or delete any Content submitted or posted through the Services. Despite this, you recognize that Find and Hire is not obligated to edit or alter any Content, nor to arbitrate disputes or disagreements among posters, and holds no liability to you for any Content. Find and Hire disclaims responsibility for Content and any claims of economic loss arising from it. In its sole discretion, Find and Hire may delete any Content if it determines that the submitted Content:
- Is inaccurate, illegal, deceptive, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing (or advocates harassment of another person), threatening, infringing on privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;
- Is blatantly offensive to our community, encompassing content that endorses racism, bigotry, hatred, or physical, emotional, or sexual harm against any group or individual;
- Solicits personal information from anyone under 18 years old;
- Infringes upon the privacy rights of another individual or assumes the identity of any person or entity;
- Would involve, endorse, advocate, or furnish guidance for engaging in an illegal activity, a criminal offense, result in civil liability, infringe upon the rights of any party globally, or otherwise incur liability or contravene any local, national, or international law. This includes, but is not limited to, regulations set forth by the U.S. Securities and Exchange Commission (SEC) or rules of any securities exchange, such as the New York Stock Exchange (NYSE) and/or the NASDAQ;
- Imparts instructional information regarding illicit activities, such as the creation or acquisition of illegal weapons, intrusion upon someone’s privacy, or the provision or development of computer viruses;
- May infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
- Involves mass mailings, commonly known as “spamming,” as well as the dissemination of “junk mail,” “chain letters,” or participation in “pyramid schemes”;
- Assumes the identity of any person or entity or otherwise misrepresents your association with a person or entity, including but not limited to Find and Hire or any Employer;
- Comprises confidential information belonging to any third party, encompassing, but not limited to, addresses, phone numbers, email addresses, social security numbers, and credit card numbers;
- Includes or is designed to facilitate viruses, corrupted data, or other harmful, disruptive, or destructive files;
- May not align with the best interests of the online community that we cater to or the efficient functioning of the Services.
6.2 Job Postings Content. Find and Hire may remove any job posting Content in the event it determines, in its sole discretion, that the job posting Content:
- Fails to adhere to relevant federal, state, local, or international laws, encompassing, but not limited to, laws pertaining to labor and employment, equal employment opportunity, employment eligibility requirements, data privacy, data access and use, and intellectual property;
- Pertains to a criminal enterprise or would necessitate participation in illegal activities to execute the associated job;
- Pertains to a posting that is terminated the posting period;
- Endorses any franchise, pyramid scheme, “club membership,” distributorship, multi-level marketing opportunity, or sales representative agency arrangement. Additionally, it promotes any employment, job, or business opportunity that mandates an upfront or periodic payment or necessitates the recruitment of other members, sub-distributors, or sub-agents;
- Solicits or requires unpaid services, including the submission of work as part of a proposal process for minimal or no compensation. Alternatively, it seeks a fee prior to permitting an applicant to submit a proposal;
- Involves the sharing or seeking of contact information, such as email addresses, phone numbers, or social media usernames, within a profile or job posting;
- Advertises sexual services or seek employees for jobs of a sexual nature;
- Seeks the utilization of human body parts or the donation of human parts, encompassing, but not limited to, reproductive services like egg donation and surrogacy;
- Promotes employment opportunities situated in countries that are subject to economic sanctions imposed by the United States government;
- Unless permitted by applicable laws, necessitates the applicant to disclose information pertaining to the applicant’s racial or ethnic background; political beliefs; philosophical or religious beliefs; membership in a trade union; physical or mental health; sexual health; commission of criminal offenses; or age; or
- May be deceptive, objectionable, inappropriate, or contrary to the best interests of our online community we cater to or the effective operation of our Services.
6.3 Reporting. We reserve the right to report any activity that we reasonably suspect violates any law or regulation to the relevant law enforcement authorities, regulators, or other appropriate third parties. Our reporting may involve the disclosure of pertinent customer information. Additionally, we may collaborate with relevant law enforcement agencies, regulators, or other appropriate third parties to assist in the investigation and prosecution of illegal conduct. This assistance may include providing network and systems information related to alleged violations of the Terms.
- Interactions with Other Users.
7.1 Responsibility of User. You are entirely responsible for your engagements with other users and any other parties you interact with. However, Find and Hire reserves the right, though not obligated, to step in and mediate in case of disputes. You acknowledge that Find and Hire will not be held responsible for any liabilities arising from such interactions.
7.2 Content Provided by Other Users. Find and Hire Properties might include Customer Content contributed by other users. Find and Hire does not oversee or control Customer Content. There is no obligation for Find and Hire to review or monitor, and it does not endorse, approve, or provide representations or warranties concerning Customer Content. Your utilization of all Customer Content and interactions with other users are done at your own risk.
7.3 No Authentication of Users. You acknowledge that Find and Hire cannot verify the identity of every user. It is not our responsibility to authenticate users, and thus, you are accountable for conducting appropriate due diligence before engaging with other users, including Employers, Part-Timers, and Find and Hire Workers. All risks associated with interacting with users are assumed by you. In the event of any disputes or issues with a user, you agree to seek remedies directly from the relevant user, releasing Find and Hire and their respective employees, directors, and agents from all claims and damages, both known and unknown, suspected and unsuspected, disclosed and undisclosed, whether actual, consequential, direct, or indirect, to the fullest extent permitted by law.
- Third-Party Services, Portals, and Other Websites.
8.1 Third-Party Services. Find and Hire Properties may include links to third-party websites, applications, ads, and services collectively known as “Third-Party Services.” When you go to a Third-Party Service, we may not explicitly alert you that you’ve left Find and Hire Properties, and you’re now under the terms and conditions (including privacy policies) of another third party. These Third-Party Services are beyond the control of Find and Hire. Find and Hire does not take responsibility for any Third-Party Services; they are provided as a convenience, and we don’t review, approve, monitor, endorse, warrant, or make representations regarding them, including the quality or accuracy of the products or services they offer. Accessing Third-Party Services is at your own risk. Once you exit our Website, Application, or Services, our Terms and policies no longer apply. It’s essential to review the relevant terms and policies, including privacy and data gathering practices, of any Third-Party Service provider. Conduct any necessary investigations before proceeding with transactions involving third parties.
8.2 Third Party Portals. You may access Find and Hire Properties through third-party websites, referred to as “Third-Party Portals.” These portals are not within Find and Hire’s control, and Find and Hire assumes no responsibility for them.
- Indemnification.You agree to indemnify and hold harmless Find and Hire, officers, employees, agents, partners, and licensors (collectively referred to as the “Find and Hire Parties“) from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) related to or arising from: (a) Customer Content; (b) your use of, or inability to use, Find and Hire Properties; (c) your violation of the Terms; (d) your infringement of any rights of another party, including any Users; or (e) your violation of any applicable laws, rules, or regulations. Find and Hire retains the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will fully cooperate with Find and Hire in asserting any available defenses. This provision does not compel you to indemnify any of the Find and Hire Parties for any unconscionable commercial practice or fraudulent, deceptive, false promise, misrepresentation, concealment, suppression, or omission of any material fact in connection with the Website or any Services provided. You agree that the terms in this section will remain effective even after the termination of your Account, the Terms, or your access to Find and Hire Properties.
- Disclaimer of Warranties and Conditions.
10.1 AS IS. You explicitly understand and agree that, within the limits allowed by applicable law, your utilization of Find and Hire Properties is undertaken at your own risk. Find and Hire Properties are furnished on an “as-is” and “as-available” basis, complete with all inherent faults. The Find and Hire Parties explicitly disclaim all warranties, representations, and conditions, whether explicit or implied, encompassing but not restricted to the implicit warranties or conditions of merchantability, fitness for a specific purpose, and non-infringement stemming from the utilization of the services.
The Find and Hire Parties provide no assurance, representation, or stipulation that: (1) Find and Hire Properties will fulfill your requirements; (2) your utilization of Find and Hire Properties will proceed without interruptions, be timely, secure, or error-free; (3) the outcomes derived from the use of Find and Hire Properties will be accurate or dependable; or (4) your use of Find and Hire Properties will be private or secure.
Accessing any content downloaded from or otherwise obtained through Find and Hire Properties is undertaken at your own risk. Find and Hire makes no representation, warranty, or guarantee regarding the accuracy, legality, legitimacy, truthfulness, or completeness of such content.
You recognize the potential exposure to Customer Content that may be inaccurate, incomplete, illegal, misleading, false, offensive, constitute spam, or otherwise be unsuitable for your intended purpose. You accept the responsibility to verify the quality, accuracy, truthfulness, legality, and reliability of user content, including but not limited to resumes/CVs, job advertisements, and content of messages. Your reliance on any Customer Content is at your own risk.
You shall bear sole responsibility for any harm to your property, including but not limited to your computer system and any device used to access Find and Hire Properties, or any other losses resulting from such access to content. The services may encounter delays, cancellations, and other disruptions. Find and Hire provides no warranty, representation, or condition regarding services, encompassing but not limited to the quality, effectiveness, reputation, and other characteristics of services.
Find and Hire explicitly disclaims any responsibility for any harm resulting from the download or access of any information or material on the site. Under no circumstances shall Find and Hire be held liable to you or any third party based on your use, misuse, or reliance on the site.
Periodically, Find and Hire may introduce new “Beta” features or tools, intended solely for experimental purposes and provided without any warranty. Such features or tools may be subject to modification or discontinuation at Find and Hire’s sole discretion. The stipulations of this section are fully applicable to such features or tools.
10.2 No Liability for Conduct of Third Parties. You recognize and consent that Find and Hire Parties bear no liability, and you agree not to attempt to hold Find and Hire Parties accountable, for the actions of third parties on the website, including operators of external sites. The risk of injury arising from such third parties is entirely your responsibility.
10.3 No Liability for Conduct of Other Users. You bear exclusive responsibility for all your communications and interactions with other users of Find and Hire Properties. It is understood that Find and Hire does not make any effort to authenticate the statements made by users of Find and Hire Properties.
- Limitation of Liability.
11.1 Disclaimer of Certain Damages. You recognize and agree that Find and Hire will not be held liable for any loss of profits, revenue, or data, as well as indirect, incidental, special, or consequential damages that may arise from or be related to the use of Find and Hire Properties. This encompasses damages or costs associated with the loss of production or use, business interruption, and the procurement of substitute goods or services, regardless of whether Find and Hire has been advised of the possibility of such damages. These liabilities arise from or in connection with the Terms or from any communications, interactions, or meetings with other users of Find and Hire Properties. This encompasses, but is not limited to: (1) the utilization or incapacity to use Find and Hire Properties; (2) the expense of acquiring alternative goods or services resulting from any merchandise, data, information, or services acquired, or messages received, for transactions entered into through Find and Hire Properties; (3) unauthorized access to or modification of your transmissions or data; (4) assertions or behavior of any third party on Find and Hire Properties; or (5) any other subject associated with Find and Hire Properties. These claims may be based on warranty, copyright, contract, tort (including negligence), product liability, or any other legal theory. The aforementioned cap on liability does not apply to the liability of a Find and Hire Party for (A) death or personal injury caused by a Find and Hire Party’s negligence, or for (B) any injury caused by a Find and Hire Party’s fraud or fraudulent misrepresentation.
11.2 Cap on Liability. Under no circumstances will Find and Hire’s liability to you exceed the greater of (A) $100.00, and (B) the liability cap amount specified in the relevant specific term, if any. The aforementioned cap on liability does not apply to the liability of a Find and Hire Party for (A) death or personal injury resulting from a Find and Hire Party’s negligence; or for (B) any harm resulting from a Find and Hire Party’s fraud or fraudulent misrepresentation; or (C) if otherwise stipulated by a contract with Find and Hire.
- Procedure for Making Claims of Copyright Infringement.Find and Hire maintains a policy to revoke membership privileges of users engaged in repeated copyright infringement upon swift notification to Find and Hire by the copyright owner or the legal agent of the copyright owner. Without limiting the above, if you believe that your work has been copied and posted on Find and Hire Properties in a manner constituting copyright infringement, please furnish to Find and Hire employees with the following details: (1) an electronic or physical signature of the individual authorized to act on behalf of the copyright proprietor; (2) an account of the copyrighted creation you assert has been violated; (3) a clarification of the position on Find and Hire Properties where the material you contend is infringing is located; (4) your residence, phone number, and email address; (5) a documented declaration from you expressing a sincere belief that the disputed use lacks authorization from the copyright proprietor, its representative, or the law; (6) a declaration from you, subject to the penalty of perjury, certifying the accuracy of the details in your notification and confirming that you are the copyright owner or authorized to represent the copyright proprietor. - Remedies.
13.1 Violations. If Find and Hire identifies any potential violations of the Terms by you, Find and Hire reserves the right to investigate such violations. If, following the investigation, Find and Hire suspects that criminal activity has transpired, Find and Hire retains the right to report the matter to and collaborate with any and all pertinent legal authorities. Find and Hire is authorized, except to the extent prohibited by applicable law, to disclose any information or materials within Find and Hire Properties, including Customer Content, in Find and Hire’s possession related to your use of Find and Hire Properties, for purposes including but not limited to: (1) adhering to relevant laws, legal procedures, or government requisitions; (2) upholding the Terms; (3) handling allegations that Customer Content violates the rights of third parties; (4) answering your customer service inquiries; or (5) ensuring the rights, property, or personal safety of Find and Hire, its Users, the public, and any law enforcement or other government officials, as judged necessary or appropriate at the sole discretion of Find and Hire.
13.2 Breach. If, at its sole discretion, Find and Hire concludes that you have violated any part of the Terms or exhibited behavior unsuitable for Find and Hire Properties, Find and Hire retains the right to:
- Warn you via e-mail (to any e-mail address you have provided to Find and Hire) that you have violated the Terms;
- Notify and/or transmit Content to and/or fully collaborate with the appropriate law enforcement authorities for subsequent actions;
- Cancel your order to any Services immediately without refunds;
- Terminate your registration(s) with any of the Find and Hire Properties, including any Services or any Find and Hire community; and/or
- Take any other action that Find and Hire considers suitable.
- Term and Termination.
14.1 Term. The Terms form a legally binding agreement that starts on the date of your acceptance (as outlined in the preamble above) and remains valid as long as you utilize Find and Hire Properties, unless terminated earlier in accordance with the Terms.
14.2 Termination of Services by Find and Hire. If Find and Hire determines that you have significantly violated any provision of the Terms, or if such action is required by law (for instance, if the provision of the Website, the Application, the Software, or the Services is or becomes unlawful), or if it is deemed necessary to safeguard the Find and Hire Properties or other users, Find and Hire reserves the right to immediately and without notice suspend or terminate any Services provided to you. You acknowledge that all terminations for cause will be at Find and Hire’s sole discretion, and Find and Hire will not be held liable to you or any third party for the termination of your Account.
14.3 Termination of Services by You. If you would like to terminate the Services provided by Find and Hire, you can achieve this by (a) informing Find and Hire at any time and (b) closing your Account for all the Services you utilize. Please send your notice in writing to Find and Hire at 1007 North Orange St 4th Fl, Ste 231, Wilmington, Delaware, 19801 and/or e-mail at the following address: info@findandhirellc.com. Keep in mind that if you are an Employer, you are bound by any supplementary terms pertaining to the termination of Sales Orders as specified in the Find and Hire Employer Terms.
14.4 Effect of Termination. The Service Termination involves revoking access to that Service and prohibiting further use of it. Termination of all Services also encompasses the deletion of your passwords and all pertinent information, files, and Content linked to or within your Account (or any part thereof), including your Customer Content. Once a Service is terminated, your right to use it ceases automatically and immediately. It is understood that any termination of Services may entail the removal of your Customer Content associated with it from our active databases. Find and Hire bears no liability to you for any suspension or termination, including the deletion of your Customer Content. All provisions of the Terms that, by their nature, should endure will persist after the termination of Services. This includes ownership provisions, warranty disclaimers, and limitation of liability.
14.5 No Subsequent Registration. If Find and Hire terminates your registration(s) or access to Find and Hire Properties, or any other Find and Hire community, because of a violation of any part of the Terms or inappropriate conduct within the community, you agree not to attempt re-registration or access using a different customer name or any other means. Violating this agreement empowers Find and Hire, at its sole discretion, to promptly undertake any or all actions outlined herein without providing notice or warning.
- International Users.Find and Hire Properties are accessible globally and may include mentions of Services and Content not accessible in your country. These references do not indicate any intention by Find and Hire to introduce such Services or Content in your country. The operation of Find and Hire Properties is managed by Find and Hire from its facilities in the United States of America. Find and Hire does not assert that Find and Hire Properties are suitable or accessible for use in other locations. Users who choose to access or use Find and Hire Properties from different countries do so voluntarily and are accountable for complying with local laws.
- Dispute Resolution.
PLEASE KINDLY REVIEW THE SUBSEQUENT ARBITRATION AGREEMENT IN THIS SECTION (“ARBITRATION AGREEMENT”) ATTENTIVELY. IT MANDATES ARBITRATION FOR DISPUTES WITH FIND AND HIRE AND RESTRICTS THE WAYS IN WHICH YOU CAN PURSUE REMEDIES FROM US.
16.1 Applicability of Arbitration Agreement. You agree that any disagreement or claim relating in any manner to your access or utilization of the Website, to any products sold or disseminated through the Website, or to any facet of your association with Find and Hire, will be settled through binding arbitration, rather than in court, with the exception that (1) You have the right to bring forward claims in a small claims court provided that your claims meet the requirements, as long as the dispute stays within such a court and proceeds exclusively on an individual (non-class, non-representative) basis; and (2) Either you or Find and Hire may pursue just relief in court for the violation or other improper use of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). This Arbitration Agreement will be applicable, without restriction, to all claims that emerged or were asserted before the Effective Date of this Agreement or any preceding version of this Agreement.
IF YOU CONSENT TO ARBITRATION WITH FIND AND HIRE, YOU ARE PRE-AGREEING THAT YOU WILL NOT PARTICIPATE IN OR SEEK MONETARY OR OTHER REDRESS IN ANY LAWSUIT BROUGHT AGAINST FIND AND HIRE ALLEGING CLASS, COLLECTIVE, AND/OR REPRESENTATIVE CLAIMS ON YOUR BEHALF. INSTEAD, THROUGH YOUR AGREEMENT TO ARBITRATION, YOU MAY ASSERT YOUR CLAIMS AGAINST FIND AND HIRE IN AN INDIVIDUAL ARBITRATION PROCEEDING. IF SUCCESSFUL ON SUCH CLAIMS, YOU MAY BE GRANTED MONETARY OR OTHER RELIEF BY AN ARBITRATOR. YOU RECOGNIZE THAT YOU HAVE BEEN ADVISED TO CONSULT WITH AN ATTORNEY IN DETERMINING WHETHER TO ACCEPT THIS AGREEMENT, INCLUDING THIS ARBITRATION AGREEMENT.
16.2 Arbitration Rules and Forum. The Federal Arbitration Act oversees the interpretation and enforcement of this Arbitration Agreement. To initiate an arbitration proceeding, you must send a letter requesting arbitration and outlining your claim to Find and Hire at 1007 North Orange St 4th Fl, Ste 231, Wilmington, Delaware, 19801, and/or email info@findandhirellc.com.
16.3 Authority of Arbitrator. The arbitrator, rather than any federal, state, or local court or agency, will have exclusive authority to address any dispute related to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any assertion that all or part of this Arbitration Agreement is void or voidable. The arbitration will determine the rights and liabilities, if any, of both you and Find and Hire. The arbitration proceeding will not be combined with other matters or linked with other cases or parties. The arbitrator will be empowered to grant motions that dispose of all or part of any claim. Additionally, the arbitrator will have the authority to award monetary damages and provide any non-monetary remedy or relief available to an individual under applicable law, the rules of the arbitral forum, and the Agreement (including the Arbitration Agreement). The arbitrator will issue a written award and a statement of decision outlining the essential findings and conclusions on which the award is based, encompassing the calculation of any damages granted. The arbitrator possesses the same authority to grant relief on an individual basis as a judge in a court of law. The arbitrator’s decision is conclusive and binding on both you and us.
16.4 Waiver of Class or Consolidated Actions. All disputes and claims covered by this Arbitration Agreement must be individually settled through arbitration and not on a collective basis. Solely individual remedies are allowable, and issues encompassing more than one customer or user may not be subjected to arbitration or amalgamated with those of any other customer or user. In the event that this subparagraph is considered invalid or unenforceable, neither you nor we are entitled to arbitration. Instead, claims and disputes will be addressed in a court, as outlined in Sections 19.6 and 19.7.
16.5 30-Day Right to Opt Out. You have the option to decline the terms of this Arbitration Agreement by submitting a written notice of your decision to opt out. Send your notice to the following address: Find and Hire at 1007 North Orange St 4th Fl, Ste 231, Wilmington, Delaware, 19801, or email info@findandhirellc.com within 30 days of initially becoming subject to this Arbitration Agreement. Include in your notice your name, address, Find and Hire username (account number) (if applicable), the email address used to establish your Account (if any), and a clear statement expressing your desire to opt out of this Arbitration Agreement. Choosing to opt out does not affect the applicability of other sections in this Agreement to you. Opting out does not impact any other arbitration agreements you currently have or may enter into with us in the future.
16.6 Severability. If certain sections of this Arbitration Agreement are deemed invalid or unenforceable under the law, those specific sections will be rendered ineffective and removed. The remaining portions of the Arbitration Agreement will remain valid and enforceable.
16.7 Survival of Agreement. This Arbitration Agreement will persist even after the conclusion of your association with Find and Hire.
16.8 Modification. Despite any contrary provision in this Agreement, we mutually acknowledge that if Find and Hire introduces a substantial amendment to this Arbitration Agreement in the future, it will not impact any individual claim(s) for which you had already notified Find and Hire.
- General Provisions.
17.1 Electronic Communications. The communications between you and Find and Hire involve electronic means, whether you access Find and Hire Properties, send emails to Find and Hire, or receive notices from Find and Hire on its Properties through email. For contractual matters, you (1) express your consent to receive communications from Find and Hire in electronic format; and (2) acknowledge that all terms, conditions, agreements, notices, disclosures, and other communications provided to you by Find and Hire electronically fulfill any legal requirement that such communications would meet if in written form. This provision does not impact your statutory rights.
17.2 Release. By using Find and Hire Properties, you are releasing the Find and Hire Parties and their successors from any and all claims, demands, losses, damages, rights, and actions, including those related to personal injuries, death, and property damage, whether directly or indirectly connected to or arising from your utilization of Find and Hire Properties. This encompasses interactions with other users or third-party websites, all arising in connection with or as a result of the Terms or your engagement with Find and Hire Properties. If you are a California resident, you are also waiving California Civil Code Section 1542, which states,
“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
The release mentioned above does not extend to claims, demands, or any losses, damages, rights, and actions, such as personal injuries, death, or property damage, arising from unconscionable commercial practices, fraud, deception, false promises, misrepresentation, or the concealment, suppression, or omission of any material fact by Find and Hire in connection with the Website.
17.3 Force Majeure. Find and Hire shall not be held responsible for any delays or failures to perform that arise from circumstances beyond its reasonable control. Such circumstances include, but are not limited to, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, pandemics or epidemics, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or other conditions outside the reasonable control of Find and Hire that disrupt normal business operations.
17.4 Questions, Complaints, Claims. If you have inquiries, complaints, or claims regarding Find and Hire Properties, please reach out to us at contactus@findandhirellc.com. We are committed to addressing your concerns to the best of our ability. If you believe that your concerns have not been fully addressed, please inform us so that we can conduct a further investigation.
17.5 Governing Law. The Terms and any actions arising from them will be governed and construed in accordance with the laws of the State of Delaware, consistent with the Federal Arbitration Act, without applying principles that would invoke the laws of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17.6 Notice. You are accountable for maintaining your current and valid email address in your profile on the Website and in the Application. In the event that the last email address you provided to Find and Hire is invalid or unable to deliver required or permitted notices under the Terms, Find and Hire’s dispatch of the email containing such notice will still be deemed effective notice. To notify Find and Hire, you can use the following email address: info@findandhirellc.com.
17.7 Waiver. Any instance of waiving or neglecting to uphold any stipulation of the Terms on a specific occasion shall not be deemed a waiver of any other stipulation or of the identical stipulation on any subsequent occasion.
17.8 Severability.
If any section of the Terms is considered invalid or unenforceable, it will be construed to reflect the original intention of the parties as closely as possible, and the remaining sections will continue to be entirely valid and effective.
17.9 Export Control. You are restricted from using, exporting, importing, or transferring Find and Hire Properties unless expressly authorized by U.S. law, the laws of the jurisdiction in which you acquired Find and Hire Properties, and other relevant regulations. Specifically, but not exclusively, Find and Hire Properties may not be exported or re-exported (a) to countries subject to United States embargoes or (b) to individuals listed on the U.S. Treasury Department’s Specially Designated Nationals, the U.S. Department of Commerce’s Denied Person’s List, or Entity List. By utilizing Find and Hire Properties, you affirm that (i) you are not situated in a country under a U.S. Government embargo or identified as a “terrorist supporting” nation and (ii) you are not included in any U.S. Government list of prohibited or restricted parties. Furthermore, you undertake not to utilize Find and Hire Properties for any activities prohibited by U.S. law, including but not limited to engaging in the development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons. You acknowledge and agree that the products, services, or technology provided by Find and Hire fall under the purview of U.S. export control laws and regulations. It is your duty to comply with these laws and regulations, and you must not, without obtaining prior authorization from the U.S. government, engage in the export, re-export, or transfer of Find and Hire products, services, or technology, whether directly or indirectly, to any country contravening such laws and regulations.
17.10 Consumer Complaints. In accordance with California Civil Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.
17.11 Entire Agreement. The Terms represent the ultimate, comprehensive, and exclusive agreement between the parties concerning the subject matter herein, overriding and consolidating all preceding discussions between the parties relating to said subject matter.
